Terms of Service

These Terms of Service (“Terms”) govern your access to and use of AutoEmail's AI-powered email automation platform. By creating an account or using the service, you agree to be bound by these Terms. If you do not agree, please do not use AutoEmail.

1. Acceptance of Terms

By accessing or using AutoEmail (“Service”), you confirm that you are at least 18 years old, have read and understood these Terms, and have the authority to bind yourself or the organisation you represent. These Terms constitute a legally binding agreement between you and Nico Jaroszewski, Schlosstalstrasse 202, 8408 Winterthur, Switzerland (“AutoEmail”, “we”, “us”).

2. Service Description

AutoEmail is a multi-tenant, AI-powered email management platform that:

  • Connects to your email accounts to read incoming messages
  • Uses OpenRouter-powered text AI models to generate draft reply suggestions
  • Presents drafts for your review - no email is ever sent without your explicit approval
  • Provides analytics, triage, and email management tools

The Service is provided “as is” and is intended for business users managing email correspondence.

3. User Accounts & Responsibilities

You are responsible for:

  • Maintaining the security of your account credentials
  • All activity that occurs under your account
  • Notifying us immediately of any unauthorised access at info@autoemail.dev
  • Ensuring that all users within your organisation comply with these Terms
  • The accuracy of information you provide during registration

We use Clerk for authentication. You agree to Clerk's Terms of Service in addition to ours when using our authentication system.

4. Acceptable Use Policy

You must not use AutoEmail to:

  • Send spam, unsolicited bulk email, or phishing communications
  • Violate any applicable law, including data protection law (GDPR, etc.)
  • Infringe intellectual property rights of third parties
  • Transmit malware, viruses, or other malicious code
  • Attempt to reverse-engineer, decompile, or access our systems beyond intended use
  • Use the platform to harass, defame, or harm individuals
  • Circumvent rate limits, access controls, or security measures

We reserve the right to suspend or terminate accounts that violate this policy without notice.

5. Intellectual Property

5.1 Our Property

AutoEmail and all associated software, trademarks, logos, and content are the exclusive property of Nico Jaroszewski. These Terms do not grant you any rights to use our intellectual property except as necessary to use the Service.

5.2 Your Content

You retain ownership of all email content and data you bring to the platform. By using AutoEmail, you grant us a limited, non-exclusive licence to process your content solely to provide and improve the Service. We do not claim ownership of your emails or business data.

5.3 AI-Generated Drafts

AI-generated email drafts produced by the Service are provided to you for use as you see fit. We do not assert copyright over AI-generated output produced using your context.

6. Data Processing

The processing of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. For business customers, a Data Processing Agreement (DPA) is available upon request at info@autoemail.dev.

7. Service Availability & SLA

We target 99.5% monthly uptime for the Service, excluding scheduled maintenance. We will provide reasonable advance notice of planned downtime. We do not guarantee uninterrupted, error-free access to the Service at all times.

Service credits for downtime exceeding SLA targets are available to paid subscribers. Contact info@autoemail.dev to request credits.

8. Payment & Subscriptions

Paid plans are billed monthly or annually in advance. All prices are exclusive of applicable taxes (including VAT). You authorise us to charge your payment method on a recurring basis. Subscriptions automatically renew unless cancelled before the renewal date.

Refunds are available within 14 days of your initial purchase for first-time subscribers, as required under EU consumer protection law. Contact info@autoemail.dev for refund requests.

9. Limitation of Liability

To the maximum extent permitted by applicable law, AutoEmail shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, loss of data, or loss of business opportunities, arising from your use of the Service.

Our total aggregate liability for any claims arising under these Terms shall not exceed the amounts paid by you to AutoEmail in the twelve (12) months preceding the claim. Nothing in these Terms limits liability for death, personal injury, fraud, or any other liability that cannot be excluded under applicable law.

AutoEmail is not responsible for emails sent on your behalf - all emails require your explicit human review and approval before sending.

10. Termination

You may terminate your account at any time from your account settings or by contacting info@autoemail.dev. Upon termination, your data will be retained for 30 days to allow for recovery, then deleted in accordance with our Privacy Policy.

We may suspend or terminate your account immediately if you breach these Terms, engage in fraudulent activity, or if required by law. We will provide reasonable notice where permitted.

11. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of [GOVERNING_JURISDICTION] (EU member state). Any disputes shall be subject to the exclusive jurisdiction of the courts of [JURISDICTION_CITY], unless you are a consumer, in which case you may also bring proceedings in the country where you reside.

For EU consumers, the European Commission provides an online dispute resolution platform at ec.europa.eu/consumers/odr.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you at least 30 days before material changes take effect via email or in-platform notification. Continued use after the effective date constitutes acceptance of the updated Terms.
